Terms & Conditions

1. Acceptance of these terms
These terms govern your access to and use of Iris Connect, Iris Bridge, Iris Growth, and any related website, software, or service we provide (together, the "Services"). By creating an account, signing an order form, or using the Services, you agree to these terms on behalf of yourself and the organization you represent.
If you do not agree to these terms, do not use the Services.
2. Who can use the Services
The Services are built for NEMT providers, brokers, health plans, and community health organizations. You must be authorized to act on behalf of your organization to accept these terms, and your organization is responsible for every action taken under its account.
3. Your account
You are responsible for keeping your login credentials secure and for all activity that happens under your account. Tell us right away if you suspect unauthorized access. We may suspend or terminate accounts that violate these terms or put the Services, other users, or riders at risk.
4. Acceptable use
You agree to use the Services only for lawful NEMT dispatch, credentialing, compliance, billing, network management, or growth activity. You will not attempt to reverse engineer the Services, interfere with their operation, or use them to store or transmit data you do not have the right to share, including rider health information you are not authorized to handle.
5. Fees and billing
Fees depend on the pricing model you select: Invoice Match, Per Trip, or Per Driver, as described on our pricing page or in your order form. Fees are billed on the schedule stated in your agreement with us. Late payment may result in suspended access until your account is current.
6. Trip, health, and claims data
The Services may process protected health information (PHI) and other sensitive data as part of dispatch, credentialing, and claims workflows. Where required, we enter into a Business Associate Agreement (BAA) with covered entities and business associates before that data is processed. You remain responsible for having the right to submit any data you enter into the Services.
7. Our intellectual property
Iris and its licensors own all rights in the Services, including the software, design, and Iris name and logo. These terms do not grant you any ownership in the Services, only a limited right to use them as described here.
8. Termination
You may stop using the Services at any time, subject to any minimum term in your order form. We may suspend or terminate your access if you materially breach these terms and do not correct the breach after we notify you.
9. Disclaimers and limitation of liability
The Services are provided "as is." We do not guarantee that the Services will be uninterrupted or error-free. To the extent permitted by law, Iris is not liable for indirect, incidental, or consequential damages arising from your use of the Services, and our total liability is limited to the fees you paid us in the twelve months before the claim arose.
10. Governing law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
11. Changes to these terms
We may update these terms from time to time. If we make material changes, we will notify account administrators by email or through the Services before the changes take effect.
